1. AGREEMENT TO TERMS

These Terms of Service ("Terms") constitute a legally binding agreement between you ("you" or "user") and Immigratic Visa Services Corp. or its subsidiaries, including Immigratic, Inc. and Lexpoint, Inc. (collectively, "Immigratic," "we," "us," or "our"), a Canadian company registered at 1000 Innovation Drive, Suite 500, Ottawa, Ontario K2K 3E7 (HST Number: 799169545RC0001), regarding your access to and use of our educational immigration information tools and resources.

1.1 Services Covered

These Terms govern your use of our EDUCATIONAL TOOLS AND RESOURCES:

• ImmiReport - Educational immigration assessment tools for informational purposes only
• ImmiCare - Educational business immigration information and compliance resources
• ImmiCoach - Educational immigration application information and guidance tools
• Lexpoint.io - Educational platform connecting users with licensed professionals
• Free Tools - Educational NOC Navigator, CLB Navigator, Score Calculators, and other informational tools
• ImmiWatch - Educational immigration policy monitoring and information updates
• ImmiScore - Educational immigration scoring and evaluation information tools

1.2 Acceptance

By accessing or using any of our Services, you agree to be bound by these Terms. If you do not agree, you must not use the Services. We may update these Terms at our discretion by revising the "Last Updated" date. Your continued use of the Services after such updates constitutes acceptance of the revised Terms.

2. EDUCATIONAL PURPOSE DISCLAIMER

2.1 Educational Use Only

ALL SERVICES ARE PROVIDED FOR EDUCATIONAL AND INFORMATIONAL PURPOSES ONLY. Our tools, assessments, calculators, and resources are designed to provide general information about Canadian immigration processes and requirements. They are NOT intended to:

• Provide legal advice or immigration advice
• Replace consultation with licensed professionals
• Guarantee immigration success or eligibility
• Constitute professional immigration services
• Create any attorney-client or consultant-client relationship

2.2 Educational Tools vs. Professional Services

THESE FREE EDUCATIONAL TOOLS DO NOT CONSTITUTE LEGAL ADVICE, IMMIGRATION ADVICE, OR PROFESSIONAL CONSULTATION. Our free Services are educational tools that provide general information only. They are NOT a substitute for professional immigration advice.

IMPORTANT DISTINCTION: Immigratic employs licensed Regulated Canadian Immigration Consultants (RCICs) and immigration professionals. When you retain our professional services through a signed retainer agreement and pay for professional consultation, you receive full professional immigration advice and representation. This disclaimer does NOT apply to retained clients with formal agreements.

For specific legal advice, immigration advice, or professional consultation, you MUST consult with:

• A licensed Regulated Canadian Immigration Consultant (RCIC)
• A licensed lawyer specializing in immigration law
• A qualified immigration professional authorized under IRPA Section 91(2)

NOTE: Immigratic's licensed professionals are available for formal retainer agreements and professional immigration services.

2.3 Educational Use vs. Professional Relationship

Use of our free educational Services does NOT establish any professional relationship, including but not limited to attorney-client, consultant-client, or any other professional relationship. We are NOT your legal representative, immigration consultant, or professional advisor through the use of these free educational tools.

PROFESSIONAL RELATIONSHIPS: Professional relationships are established only through formal retainer agreements with Immigratic's licensed professionals. When you sign a retainer agreement and pay for professional services, you establish a formal professional relationship with our licensed RCICs and immigration professionals.

3. IRPA SECTION 91(2) COMPLIANCE

3.1 Authorized Practice Only

Under the Immigration and Refugee Protection Act (IRPA) Section 91(2), only authorized parties may provide immigration advice or representation for consideration. Our Services are NOT immigration advice or representation. Only the following are authorized to provide immigration advice for consideration:

• Lawyers and paralegals who are members in good standing of a law society of a province
• Notaries who are members in good standing of the Chambre des notaires du Québec
• Regulated Canadian Immigration Consultants (RCICs) who are members in good standing of the College of Immigration and Citizenship Consultants
• Other persons authorized under IRPA Section 91(2)

3.2 No Unauthorized Practice

Our Services do NOT constitute the practice of immigration law or the provision of immigration advice for consideration. We provide educational information only. Users seeking immigration advice must consult with authorized professionals listed above.

4. MULTI-PLATFORM EDUCATIONAL TOOLS

4.1 ImmiReport - Educational Assessment Tools

ImmiReport provides educational immigration eligibility information through our proprietary assessment system. These tools are for EDUCATIONAL PURPOSES ONLY and do not constitute professional assessment or advice. Results are based on user input and general information only.

4.2 ImmiCare - Educational Business Resources

ImmiCare offers educational information about business immigration compliance and management. This information is for EDUCATIONAL PURPOSES ONLY and does not constitute professional compliance advice or services.

4.3 ImmiCoach - Educational Application Information

ImmiCoach provides educational information about immigration application processes. This is for EDUCATIONAL PURPOSES ONLY and does not constitute professional application assistance or legal representation.

4.4 Lexpoint.io - Educational Professional Connection Platform

Lexpoint.io serves as an educational platform that may connect users with licensed professionals. We do NOT provide professional services ourselves. Any professional services are provided by independent licensed professionals, not by Immigratic.

4.5 Free Educational Tools

We provide free educational tools including NOC Navigators, CLB Calculators, Score Calculators, and other informational resources. These are for EDUCATIONAL PURPOSES ONLY and do not constitute professional advice or services.

5. COMPREHENSIVE LIABILITY DISCLAIMERS

5.1 No Guarantees or Warranties

WE MAKE NO GUARANTEES, WARRANTIES, OR REPRESENTATIONS OF ANY KIND. Specifically, we do NOT guarantee:

• Immigration eligibility or success
• Accuracy of assessment results or calculations
• Completeness of information provided
• Timeliness of information updates
• Compatibility with immigration requirements
• Success in any immigration process
• Approval of any immigration application

5.2 No Professional Outcomes

WE DO NOT GUARANTEE ANY PROFESSIONAL OUTCOMES. Immigration decisions are made solely by Canadian immigration authorities. We have no control over or influence on immigration decisions, processing times, or outcomes.

5.3 Information Accuracy Disclaimer

While we strive to provide accurate and up-to-date information, immigration laws, policies, and procedures change frequently. We do NOT guarantee the accuracy, completeness, or currency of any information provided. Users are responsible for verifying all information with official sources and licensed professionals.

6. USER RESPONSIBILITIES AND ACKNOWLEDGMENTS

6.1 User Acknowledgments

By using our Services, you acknowledge and agree that:

• You understand these are EDUCATIONAL TOOLS ONLY
• You will NOT rely on our Services for legal or immigration advice
• You will consult with licensed professionals for specific advice
• You are responsible for verifying all information independently
• You understand immigration decisions are made by authorities, not us
• You accept all risks associated with using educational information

6.2 User Responsibilities

You are responsible for:

• Providing accurate and complete information when using our tools

• Verifying all information with official sources
• Understanding that our tools are for educational purposes only
• Not relying on our Services for professional decisions
• Compliance with all applicable laws and regulations

7. INTELLECTUAL PROPERTY AND LICENSE

7.1 Educational License

We grant you a limited, non-exclusive, non-transferable, revocable license to use our educational tools for personal, non-commercial, educational purposes only, subject to these Terms.

7.2 License Restrictions

You may NOT:

• Use our Services for commercial purposes without written permission
• Reverse engineer, decompile, or copy our software
• Resell or redistribute our tools without authorization
• Use our platforms to provide competing services
• Represent that you are providing professional services through our tools
• Use our tools to provide immigration advice for consideration

7.3 Intellectual Property Protection

All content, tools, software, and materials are owned or licensed by us and protected by Canadian and international intellectual property laws. This includes our educational assessment algorithms, informational tools, and platform technology.

8. PRIVACY AND DATA PROTECTION

8.1 Educational Data Collection

We collect and process data for educational purposes only, including:

• Educational assessment responses
• Tool usage patterns for educational improvement
• General demographic information for educational research
• Contact information for educational communications

8.2 Data Accuracy

You are responsible for the accuracy of information you provide. We rely on accurate information to provide educational tools effectively, but we do NOT guarantee the accuracy of any results or outputs.

9. PROHIBITED ACTIVITIES

You may NOT:

• Use our Services to provide professional immigration advice
• Represent yourself as providing legal or immigration services through our tools
• Use our Services to mislead, defraud, or harm others
• Interfere with the security or functionality of our Services
• Use our Services for unauthorized commercial purposes
• Reverse engineer, decompile, or copy our software
• Attempt to gain unauthorized access to our systems
• Use our platforms to compete with our educational services

10. COMPREHENSIVE WARRANTY DISCLAIMERS

10.1 No Warranties

THE SERVICES ARE PROVIDED "AS-IS" AND "AS-AVAILABLE" WITHOUT ANY WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. We specifically disclaim all warranties, including but not limited to:

• Warranties of merchantability
• Warranties of fitness for a particular purpose
• Warranties of accuracy or completeness
• Warranties of non-infringement
• Warranties of uninterrupted access
• Warranties of error-free operation
• Warranties of security

10.2 No Professional Warranties

We make NO warranties regarding professional outcomes, immigration success, legal compliance, or any other professional matters. Our Services are educational only.

11. MAXIMUM LIABILITY LIMITATIONS

11.1 No Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, IMMIGRATIC, ITS AFFILIATES, AND AGENTS WILL NOT BE LIABLE FOR ANY DAMAGES OF ANY KIND. This includes but is not limited to:

• Direct damages
• Indirect damages
• Consequential damages
• Punitive damages
• Special damages
• Incidental damages
• Exemplary damages

11.2 Specific Liability Exclusions

We are NOT liable for:

• Immigration application denials or delays
• Financial losses related to immigration processes
• Professional advice outcomes
• Inaccurate assessment results
• Information errors or omissions
• Service interruptions or technical issues
• Third-party actions or decisions

11.3 Maximum Liability Cap

In the event that any liability is found (which we strongly dispute), our total liability is limited to the amount you paid us for Services in the three (3) months prior to the claim, or CAD $100, whichever is LESS.

12. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless Immigratic, its officers, employees, affiliates, and agents from any claims, damages, losses, costs, or expenses (including legal fees) arising from:

• Your use of our Services
• Your breach of these Terms
• Your violation of any laws or regulations
• Your reliance on our educational information
• Your failure to consult with licensed professionals
• Any third-party claims related to your use of our Services

13. TERMINATION

We may suspend or terminate your access to the Services at our sole discretion, without notice, for any reason, including breach of these Terms. Upon termination, you must cease using the Services immediately.

14. GOVERNING LAW AND DISPUTE RESOLUTION

These Terms are governed by the laws of Ontario and Canada. Any disputes will be resolved exclusively in the courts of Ontario, unless we choose to pursue proceedings in your jurisdiction. You consent to the personal jurisdiction of these courts.

15. SEVERABILITY

If any provision of these Terms is found to be unenforceable or invalid, the remaining provisions will continue in full force and effect. The unenforceable provision will be modified to the minimum extent necessary to make it enforceable.

16. ENTIRE AGREEMENT

These Terms constitute the entire agreement between you and Immigratic regarding the Services. Any prior agreements, representations, or understandings are superseded by these Terms.
